Charter of PRIOR Supervisory Board |

1. Goal
1.1. The Supervisory Board of the Russian e-Development Partnership (hereinafter referred to as the Partnership or PRIOR) is established to guarantee public support for the Partnership's activity as well as for general control and supervision of the Partnership's work.
2. Responsibilities
2.1. The responsibilities of PRIOR Supervisory Board (hereinafter referred to as the Supervisory Board) include the following:
- Approving the strategy of PRIOR activity expansion;
- Analyzing the results of PRIOR activities and coordinating the action plan for the next planning period;
- Approving the PRIOR Expert Council Membership;
- Determining the procedure and periodical terms for audit of the organizational and financial operations of PRIOR Directorate by formation of a special audit commission or hiring an independent audit company;
- Monitoring and supervising PRIOR's activities;
- Preparing recommendations on improving the contents and forms of PRIOR activities;
- Making decisions on reorganization or discontinuation of PRIOR activities;
- Submitting any issue related to PRIOR activities to PRIOR Coordinating Board for its consideration.
3. Membership
3.1. The initial membership of the Supervisory Board is approved by PRIOR Organizational Conference.
3.2. The membership of the Supervisory Board is formed according to the principle of a balanced representation of the key societal partners - government, business, civil society, research and education community, donors and investors.
3.3. The Chairmen of PRIOR Coordinating Board and Expert Council as well as the Head of the Foundation are ex officio members of the Supervisory Board.
3.4. Further changes to the membership of the Supervisory Board are made by the Supervisory Board itself.
4. Management
4.1. The Chairman of the Supervisory Board is the National Coordinator of PRIOR.
4.2. The Supervisory Board elects Deputy Chairmen carrying out the Chairman's functions, on his/her behalf, in the case of his/her absence.
5. Work Procedures
5.1. The procedures for the Supervisory Board's work and decision-making are set by the Supervisory Board itself.
5.2. Members of the Supervisory Board participate in its meetings on a voluntary basis.
6. Changes to This Charter
6.1. Changes to this Charter are introduced by the Supervisory Board itself.
